Welcome to ChipHead! These Terms of Service (“Terms”) are a legal agreement between you (“you” or “Customer”) and ChipHead (“ChipHead,” “we,” “us,” or “our”).

By using any of our services, you agree to these Terms, along with our Privacy Policy, Acceptable Use Policy, and Service Level Agreement (collectively, our “Policies”), which are incorporated by reference. If you do not agree, do not use the Services.

We may update these Terms from time to time. If we make material changes, we will try to notify you in advance (including by email when required by law). Otherwise, updates will be posted here. It’s your responsibility to review these Terms periodically. Continued use of the Services after the changes take effect means you accept the updated Terms.

Services Covered

ChipHead provides services such as game server hosting, Discord bot hosting, VPS (virtual private servers), dedicated servers, web hosting, voice servers, and any additional services we may offer in the future (collectively, the “Services”). These Terms apply to all Services, though specific services may have additional rules or documentation on our website that you must also follow.

Age Requirement

By using the Services, you confirm you are at least 13 years old (or the minimum digital age of consent in your country). If you are not old enough to enter a legally binding contract where you live, a parent or legal guardian must review and agree to these Terms on your behalf. Parents/guardians are responsible for supervising a minor’s use and ensuring compliance.

1. Account Setup and Eligibility

Accurate Information

You will provide accurate, current, and complete information during signup (including contact and billing details) and keep it updated.

Account Security

You are responsible for keeping your account secure and your credentials confidential. Do not share your password or grant others access to your account. We strongly recommend enabling two-factor authentication (2FA). If you need someone else to help manage a service, use our access/sub-user tools if available rather than sharing your personal login.

Responsibility for Account Activity

You are responsible for all actions taken through your account. We will treat activity under your account as authorized by you. If your account is used to violate these Terms, our Policies, or the law (whether or not you intended it), you may be held responsible. If you suspect unauthorized access, notify us immediately.

Eligibility and Legal Restrictions

Services are available only to individuals and entities that can enter legally binding contracts. You may not use the Services if prohibited under European or U.S. law or other applicable laws (including sanctions/export restrictions). By using the Services, you represent you are legally allowed to do so.

Identity Verification

We may require identity verification for certain transactions or when activity appears suspicious.

Account Discretion

We may refuse to open accounts, limit the number of accounts, or suspend/terminate accounts as needed to protect our Services, comply with law, or for other legitimate reasons.

If you believe your account is compromised, contact support immediately at support@chiphead.tech. If you lose access to your account email address, we may be unable to recover your account, data, or server contents.

2. Acceptable Use

To keep ChipHead safe and reliable, we maintain an Acceptable Use Policy (AUP). By using the Services, you agree to follow it.

3. Content and Intellectual Property

Your Content and Data

You keep ownership of the content, data, and intellectual property you already own when you upload/store it using the Services. ChipHead does not claim ownership of customer content stored on our systems.

To provide the Services, you grant ChipHead a limited license to host, transmit, store, back up, and process your content as necessary to operate and improve the Services (for example: replication, routing data to players, creating backups, or compressing backup files). This license is non-exclusive, worldwide, and royalty-free, and exists only to provide the Services.

We do not use or share your content for unrelated purposes except as required by law or permitted by these Terms.

Your Responsibilities

You are solely responsible for content you (and your end users) create, upload, or distribute through the Services, including:

Game-Specific Terms

If you host a game server or related content, you are responsible for complying with the game publisher’s EULA, Terms of Service, and any rules imposed by the developer/publisher (e.g., Minecraft servers must comply with Mojang’s EULA).

Enforcement

If we detect violations of these Terms or the AUP, or receive valid legal notices (such as DMCA notices), we may remove content, suspend Services, or terminate servers/accounts at our discretion.

Where appropriate, we may notify you, but we may act immediately without prior notice if necessary to protect others, comply with law, or safeguard infrastructure. We may report illegal activity to law enforcement where required or appropriate.

ChipHead Intellectual Property

ChipHead and its licensors own all intellectual property in our Services, website, software/tools, branding, logos, and trademarks. Using the Services does not grant you ownership rights in ChipHead IP. You may not use ChipHead branding without prior written permission (unless permitted under a separate written agreement).

You may not reverse engineer, decompile, or attempt to bypass proprietary systems, except where permitted by law.

Feedback

Any feedback you provide is voluntary, and we may use it without obligation or compensation.

4. Payments and Billing

Fees and Billing Cycle

Services are generally prepaid. You must pay at the start of each billing cycle to keep Services active. Billing is typically monthly unless longer terms are offered. Services automatically renew unless canceled.

Automatic Payments

For recurring services, you authorize us to automatically charge your selected payment method each billing cycle. If your payment method does not support automatic billing, you must pay manually before the due date.

Invoices and Due Dates

Invoices are generated at least 7 days before the due date and are payable on the due date.

Late Payment, Suspension, and Termination

If payment is not received, your service will be suspended after 2 days and terminated (with data deletion) on the 3rd day.

Reactivation

Suspended services can usually be restored by paying overdue invoices. Terminated services may not be recoverable. In limited cases we may attempt restoration from backups; recovery is not guaranteed and may involve fees.

Pricing Changes

Prices may change. If we increase the base price of your service, we will provide at least 30 days’ notice. Changes apply at the next renewal. Taxes/currency adjustments may occur with shorter notice where applicable.

Taxes

Prices generally exclude sales tax, VAT, GST, or similar charges unless stated. Where required, taxes are calculated at checkout and may be charged to your payment method.

Billing Information and Payment Processing

You must keep billing information current. We do not store full card details; payment processing is handled by third-party providers under PCI-DSS standards.

5. Server Cost Donation System

ChipHead may offer a server cost donation tool (“Donations”) that allows community members to contribute funds to help cover a server owner’s hosting costs.

Donors do not purchase products or services through Donations. Donations are voluntary and are not charitable contributions, tax-deductible gifts, or payments for products, services, or in-game benefits.

For all Services, the server owner receiving account credit is the only ChipHead customer. Donors are not ChipHead customers and do not receive rights to Services, support, refunds, or guarantees from ChipHead.

How Donations Work

Donations are applied as account credit to the server owner’s ChipHead account. That credit:

Credits have no cash value, cannot be withdrawn, and can only be used for ChipHead Services. Taxes are assessed when hosting services are billed, not when a donation is made. Donation credits are not “stored funds” held for any donor’s benefit.

ChipHead’s Role

ChipHead provides tools to collect and apply Donations. We are not a financial advisor, escrow provider, or mediator between server owners and donors. We do not monitor donation messaging or goal-setting.

Server Owner Responsibilities

Server owners must be truthful and clear when messaging their communities. They may not offer in-game advantages, items, perks, or anything that violates a game’s EULA in exchange for Donations. Any rewards offered are the server owner’s responsibility and are not endorsed by ChipHead.

Refunds and Chargebacks

All Donations are final. ChipHead does not provide donor refunds. Donation disputes must be resolved between the donor and the server owner.

If a chargeback or payment reversal occurs, we may remove the corresponding credit from the server owner’s account and may suspend/restrict donation features to prevent abuse.

Abuse

Misuse of the donation system (fraud, misleading donors, violating Terms/AUP) may lead to suspension, removal of donation tools, or termination.

6. Gift Cards

ChipHead may offer gift cards redeemable for account credit toward ChipHead Services.

Redemption

Gift cards must be redeemed in full. If the gift card exceeds a purchase, the remainder becomes non-withdrawable account credit.

Use of Credit

Currency

Gift cards are issued in specific currencies and must be redeemed in the same currency. Balances cannot be converted between currencies.

Expiration

Gift cards do not expire unless an expiration date is stated at purchase/issuance.

Restrictions

Gift cards may not be resold, exchanged for cash, or used in violation of these Terms. We may refuse/cancel gift cards obtained through fraud or misuse.

7. Cancellations and Refund Policy

We aim to be fair and transparent. Because hosting requires allocating resources, refunds are limited.

Cancellation by You

You may cancel a service anytime by following instructions in our Help Center. You can cancel immediately (within 24 hours) or at the end of your billing cycle. Cancellation does not automatically trigger refunds. If you believe you qualify for a refund, contact support.

3-Day Money-Back Guarantee

If you are a new customer (first-time purchase) or you’re trying a new type of service for the first time, you may qualify for a 72-hour (3-day) money-back guarantee on most services. Request a refund within 72 hours of activation.

Not Eligible (No Refund Even Within 3 Days)

Domain registrations (and WHOIS/privacy fees), because registrations cannot be reversed

One-time fees/add-ons after the work is performed (setup fees, installations, custom configurations, etc.)

Gift cards/credits (non-refundable, no cash value)

PaysafeCard payments (non-refundable due to provider limitations/fees)

Any service labeled non-refundable at purchase

Requesting a Refund

If eligible, contact support via the Help Center or email support@chiphead.tech. You must verify account ownership. Refunds go to the original payment method where possible, or may be issued as account credit if necessary.

After 3 Days

After the 3-day window, refunds are not guaranteed and we do not provide prorated refunds for unused time unless required by law or approved at our discretion.

UK/EU Immediate Provisioning Notice

Services may be provisioned immediately after payment. By ordering, you acknowledge service begins right away, which may affect cancellation rights under UK/EU law. Where applicable, cancellations within 14 days will be handled per consumer protection laws, and you may be charged for the portion of service already delivered.

Renewal Refund Policy

Refunds for automatic renewals are provided only upon request:

Where local law requires it (e.g., EU/UK), you may be entitled to a prorated refund for unused time after renewal.

Chargebacks and Payment Disputes

If you believe there is a billing error, contact us first to resolve it. Initiating a chargeback or payment dispute without contacting support first violates these Terms.

Our Right to Cancel (Without Cause)

If ChipHead terminates your service/account without cause (i.e., not due to your breach), we will provide a prorated refund of unused prepaid fees. If termination is due to your breach or misconduct, no refund is owed.

8. Suspension and Termination

You may end Services via cancellation. ChipHead may suspend or terminate Services/accounts for cause, including if:

For serious violations, we may act immediately without notice. For less serious issues, we may provide an opportunity to remedy.

Effect of Termination

Termination ends access to affected Services and may result in permanent deletion of data. You are responsible for backups and for paying outstanding charges. We are not liable for losses caused by suspension/termination performed under these Terms.

If we discontinue a Service entirely, we will provide reasonable notice and a prorated refund for unused prepaid time.

9. Service Level Agreement

Uptime commitments, response expectations, and related credits/guarantees are described in our Service Level Agreement (SLA). By using the Services, you agree to the SLA as applicable.

10. Backups and Data Retention

Some Services include automated or paid backup options. Backup frequency and retention (e.g., daily backups retained up to 7 days) will be described in the relevant service listing.

Backups may be managed via your control panel. Certain file types/directories may be excluded to improve reliability and storage efficiency (for example: large logs, cache/temp files, archives like .zip/.tar/.sql, or regenerated data).

All backups are best-effort and not guaranteed. If backups are unavailable, fail, or cannot be restored, ChipHead is not responsible for resulting data loss. Maintain your own external backups of critical data.

11. Support

Support is a key part of what we offer. Our team is available 24/7. We will do our best to help with troubleshooting, common setups, and general guidance.

However, support is not intended to fully manage your service on your behalf. We help you operate your services, but we do not act as your dedicated administrator.

Please treat support respectfully. Repeated requests beyond the intended support scope may result in delays or limits to ensure fairness for all customers.

12. Management and Support Scope by Service Type

Game Servers (e.g., Minecraft, ARK, Rust, etc.)

Best-effort support, including:

We generally do not provide full configuration or deep debugging for complex third-party setups (e.g., permission systems, custom scripts, BungeeCord networks, or complex mod compatibility).

Mumble / Voice Servers

Self-service. We ensure availability and basic service operation, but you manage configuration.

Discord Bot Hosting

We can help confirm whether issues are on our side and assist with basic configuration. We do not provide extended support for coding, custom scripts, or bot logic/behavior.

Web Hosting

Partially managed: we maintain core infrastructure/software, but you manage site content, configurations, and custom code. Support is available for core features, but third-party CMS/plugins/custom code support is not guaranteed.

Dedicated Servers and VPS

Unmanaged: you are responsible for installing, configuring, and maintaining software and services. We support hardware/network availability issues, but not custom stack troubleshooting.

13. Domain Registrations

If you register a domain through ChipHead, you agree to provide accurate, complete, current registration information (including administrative/technical contacts). Some information may be shared with the registry and published via WHOIS unless you purchase privacy protection where available.

You must keep domain contact data updated. False/misleading data may lead to suspension or cancellation.

14. Affiliate Program Terms

ChipHead’s affiliate program is intended primarily for real customers/creators recommending services to audiences that genuinely benefit from them. It is not intended for traffic arbitrage, low-quality ad networks, coupon sites, cashback programs, affiliate blogs, or review aggregators.

We may suspend/terminate affiliate participation for violations.

You must clearly disclose your affiliate relationship in compliance with applicable advertising laws (e.g., FTC guidance).

You may not bid on ChipHead brand terms (e.g., “ChipHead” or close variants) in paid ads. You may not run ads that compete with or undermine official campaigns. Low-value or manipulative traffic may lead to removal.

We may deny/remove affiliates who lack a meaningful relationship with ChipHead or appear to be exploiting the program. You may not participate if:

You may only promote coupon/affiliate codes explicitly assigned to you through ChipHead’s program. Promoting other codes is prohibited and may lead to forfeited commissions and removal.

15. Disclaimer of Warranties

Services are provided “as is” and “as available.” Except as expressly stated in these Terms or the SLA, ChipHead disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that Services will be uninterrupted, error-free, or completely secure, or that results/performance will meet your expectations. Downloads and data obtained through the Services are at your own risk.

No advice from ChipHead creates a warranty unless expressly stated in these Terms. Some jurisdictions do not allow certain disclaimers; in those cases, warranties apply only to the minimum extent required by law.

16. Limitation of Liability

To the maximum extent permitted by law, ChipHead (including owners, employees, agents, and affiliates) will not be liable for indirect, incidental, special, consequential, or exemplary damages, including lost profits, revenue, data, business opportunities, goodwill, or the cost of substitute services.

We are not liable for claims arising from your use of (or inability to use) the Services, including content obtained through the Services or interruptions/termination.

Liability Cap

Our total cumulative liability for all claims relating to a Service or these Terms will not exceed the amount you paid for the relevant Service in the three (3) months immediately preceding the event giving rise to the claim.

Sole Remedies

Your exclusive remedy for dissatisfaction is to stop using the Services and, where applicable, receive any credits/refunds expressly available under these Terms or the SLA.

Exceptions

Nothing here limits liability where it cannot legally be limited, including:

You agree to indemnify and hold ChipHead (and its parent/subsidiaries/affiliates/officers/employees/agents) harmless from any claims, liabilities, losses, damages, and expenses (including reasonable attorneys’ fees) arising from or related to your use of the Services or your violation of these Terms or the AUP.

We will: (a) notify you of claims when legally permitted; (b) allow you to defend with counsel acceptable to us (no settlements admitting our fault or imposing non-monetary obligations without consent); and (c) cooperate as reasonably needed (at your expense). This obligation survives termination.

18. Governing Law and Disputes

18. Governing Law and Disputes

Governing Law

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of England and Wales.

If you are a consumer resident in another jurisdiction, you may benefit from mandatory protections under the laws of your country of residence. Nothing in these Terms affects those statutory rights.

Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, except that consumers may bring proceedings in their country of residence where required by applicable law.

Informal Resolution First

Before commencing legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting us at [LEGAL/CONTACT EMAIL]. If the matter is not resolved within 30 calendar days of notice, either party may pursue formal legal remedies.

Time Limit on Claims

Nothing in these Terms limits any statutory limitation period that applies under applicable law. Subject to that, parties are encouraged to bring claims without undue delay.

19. Other Important Terms

Entire Agreement

These Terms, along with our Policies and any linked guidelines, form the entire agreement regarding the Services and supersede prior agreements/communications. Any additional/different terms you propose are rejected unless we agree in writing.

No Waiver

Failure to enforce a provision does not waive our right to enforce it later.

Severability

If any provision is unenforceable, it will be limited or removed only to the extent necessary, and the remainder remains in effect.

Assignment

You may not assign these Terms without our written consent (except in limited cases required by law). ChipHead may assign these Terms to affiliates or in connection with mergers, acquisitions, reorganizations, or asset sales.

Independent Contractors

Nothing here creates a partnership, joint venture, or agency relationship.

Force Majeure

We are not liable for delays/failures caused by events beyond our reasonable control (natural disasters, government actions, war, riots, labor issues, internet/power outages, pandemics, large-scale attacks such as DDoS, etc.). We will try to mitigate and keep you informed.

Survival

Provisions that should logically survive termination (e.g., indemnification, disclaimers, limitations, governing law) survive.

Changes to Terms

We may update these Terms; if changes are material, we’ll attempt to provide advance notice. Continued use after the effective date means you accept the updated Terms.

Headings are for convenience only and do not affect interpretation.
